Interconnection Agreement

This Interconnection Agreement (IA) together with all Exhibits is made by the Huntsville Electric Utility Board (HU), a municipal public utility board created by the City of Huntsville, Alabama, and the property owner (Interconnection Customer).

The effective date of the Agreement shall be the date signed by the last Party.

Interconnection Customer Certifications:

By checking the boxes below, the Interconnection Customer certifies compliance with the following requirements:

System Compliance Certification

I certify that the Generating System will be constructed in accordance with all applicable laws, regulations, zoning codes, building codes, safety rules, and environmental restrictions, including the latest version of the National Electrical Safety Code, National Electric Code, UL, IEEE, and ANSI standards.

IEEE Standards Compliance

I certify that the Generating System will operate in compliance with IEEE 1547, IEEE 519, UL 1741, and ANSI C84.1 standards.

Islanding Protection Certification

I certify that the system includes proper islanding protection that will disconnect the Generating System from HU's System in less than four (4) cycles upon loss of grid power. The grid-interactive inverter is grid (line) driven with a positive physical disconnect.

Manual Disconnect Switch Certification

I certify that a manual, lockable, visible load break disconnect switch marked "SOLAR DISCONNECT" will be installed between the Generating System and the Utility System meter, separate from the main disconnect and easily visible from the HU meter.

Maintenance and Testing Commitment

I commit to ensuring that the Generating System remains in good working order and will be inspected, maintained, and tested on an ongoing basis in accordance with manufacturer instructions to ensure correct and safe operation.

Financial Responsibilities

Cost Responsibilities:

The Interconnection Customer acknowledges and agrees to the following financial obligations:

System Modification Costs

I agree to reimburse HU for any costs incurred to modify the meter or the electric distribution system necessary to support the Generating System.

Transformer Upgrade Costs

I understand that I am responsible for HU's actual costs of upgrading service transformers for the incremental difference between existing and new transformer capacity required for interconnection, if applicable.

Upfront Payment Acknowledgment

I agree to remit the full amount of the good faith estimate of Upfront Interconnection Costs at the time of signing this Agreement, before HU begins incurring costs and before interconnection or parallel operation begins.

By signing this agreement, you acknowledge and agree to the following terms and conditions:

Indemnification Agreement

I agree to release, indemnify, and save harmless HU, its officers, directors, members, consultants, agents, employees, and subcontractors from all liability, claims, demands, causes of action, costs, or losses for personal injuries, property damage, or loss of life or property arising from the installation, testing, operation, maintenance, repair, replacement, removal, defect, or failure of my Generating System.

Assignment Restrictions

I understand that this Agreement cannot be assigned without thirty (30) calendar days prior written notice to HU and without HU's written consent, which shall not be unreasonably withheld or delayed.

HU Access Rights

I agree that HU shall have access to my meter location at all times for accessing the manual disconnect switch, performing inspections or disconnections, or meeting HU's legal obligation to provide service to customers.

Disconnection Rights Acknowledgment

I acknowledge that HU has the right to disconnect the Generating System at any time for emergencies, maintenance, hazardous conditions, adverse electrical effects on other customers, failure to pay costs, or detection of an islanding condition.

Energy Purchase Agreement

I understand that energy will be purchased from me by HU at the rate published on HU's website, updated annually, and referenced to HU's Standard Service Wholesale costs from the Tennessee Valley Authority, not to exceed HU retail rates per kWh.

Permission to Operate Requirement

I understand that I shall not commence parallel operation of the Generating System until after having received a signed Permission to Operate Participating Solar Connect System (Exhibit D) from HU.

Electronic Signature and Agreement Execution

Agreement Execution:

By providing your electronic signature below, you acknowledge that you have read, understood, and agree to all terms and conditions of this Interconnection Agreement. This electronic signature has the same legal effect as a handwritten signature.

I understand that this Agreement, including all attached Exhibits, constitutes the entire agreement between myself and Huntsville Utilities regarding the interconnection of my solar generating system.
